Welcome to RentProtect Insurance Services LLC ("RentProtect," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and online insurance quote platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

RentProtect is an insurance agency licensed to operate in Michigan and other states. We provide online quotes for renter's insurance policies and facilitate the purchase of insurance products underwritten by third-party insurance carriers. RentProtect acts as an insurance agent and not as an insurance carrier.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

3.2 Account Information

You agree to provide accurate, current, and complete information during the registration and quote process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Insurance Quotes and Applications

4.1 Quote Accuracy

Quotes provided through our Services are estimates based on the information you provide. Final premium amounts may differ based on underwriting review, verification of information, and carrier requirements.

4.2 No Guarantee of Coverage

Providing a quote does not guarantee that coverage will be issued. All insurance applications are subject to underwriting approval by the insurance carrier.

4.3 Material Misrepresentation

You agree to provide truthful and accurate information in all insurance applications and communications. Material misrepresentation or fraud may result in denial of coverage, cancellation of a policy, or denial of claims.

4.4 Agency Relationship

When you purchase insurance through RentProtect, we act as the agent of the insurance carrier, not as your agent, except as may be required by applicable law.

5. Payment Terms

5.1 Premium Payments

Insurance premiums must be paid in accordance with the payment terms specified in your insurance policy. Failure to make timely payments may result in cancellation of coverage.

5.2 Payment Authorization

By providing payment information, you authorize us and/or the insurance carrier to charge the applicable premiums, fees, and related costs to your designated payment method.

5.3 Refunds

Refunds, if any, are subject to the terms of your insurance policy and the underwriting carrier's cancellation and refund policies.

6. Licenses and Regulatory Compliance

6.1 Licensing

RentProtect Insurance Services LLC is licensed as an insurance agency in multiple states. We maintain all required licenses and comply with regulatory requirements for insurance agents in each jurisdiction where we are licensed to conduct business.

6.2 Geographic Restrictions

Our Services are intended only for residents of states where we are properly licensed to sell insurance. We do not solicit, offer, or sell insurance products in any state where we are not licensed to do so. By requesting a quote or applying for insurance through our Services, you represent and warrant that you are a resident of a state where we are licensed to conduct insurance business.

6.3 No Unlicensed Solicitation

If you reside in a state where we are not licensed, we cannot provide you with insurance quotes, sell you insurance products, or engage in any insurance-related transactions. Nothing on our website or in our communications constitutes a solicitation of insurance in any jurisdiction where such solicitation would be unlawful.

6.4 Verification of Licensure

We reserve the right to verify your state of residence and to decline to provide quotes or services if we are not licensed in your state. You may verify our licensing status by contacting your state's insurance department or visiting the National Association of Insurance Commissioners (NAIC) website.

7. Intellectual Property

7.1 Ownership

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and compilation of information, are the exclusive property of RentProtect or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

7.3 Restrictions

You may not copy, modify, distribute, sell, lease, or exploit any portion of the Services without our prior written consent. You may not use automated systems or software to extract data from the Services for commercial purposes ("screen scraping").

8. Prohibited Conduct

You agree not to:

1. Use the Services for any unlawful purpose or in violation of these Terms
2. Provide false, inaccurate, or misleading information
3. Impersonate any person or entity or misrepresent your affiliation with any person or entity
4. Interfere with or disrupt the Services or servers or networks connected to the Services
5. Attempt to gain unauthorized access to any portion of the Services
6. Use any robot, spider, scraper, or other automated means to access the Services
7. Transmit any viruses, malware, or other malicious code
8. Violate any applicable laws or regulations

9. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

10. Disclaimers and Limitations of Liability

10.1 Services Provided "As Is"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Warranty on Accuracy

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or information provided through the Services.

10.3 Insurance Coverage Disclaimer

RentProtect is not an insurance carrier and does not provide insurance coverage. We facilitate quotes and applications for insurance products underwritten by third-party carriers. All coverage terms, conditions, exclusions, and limitations are determined by the insurance carrier and set forth in the insurance policy.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RENTPROTECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.5 Maximum Liability Cap

TO THE EXTENT NOT PROHIBITED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, THAT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless RentProtect, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

1. Your use of the Services
2. Your violation of these Terms
3. Your violation of any rights of another person or entity
4. Any information or content you submit through the Services
5. Your misrepresentation or fraud in connection with an insurance application

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.

12.2 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except as set forth below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes"), shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by this Section.

12.3 Arbitration Procedures

The arbitration shall be conducted in Grand Rapids, Michigan, or another mutually agreed location, or by telephone or online if both parties agree. The arbitrator shall apply Michigan law consistent with the Federal Arbitration Act. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

12.4 Arbitration Fees

Each party shall bear its own costs and fees associated with arbitration, except that RentProtect will pay your arbitration fees for claims of $10,000 or less if you cannot afford to pay them.

12.5 Class Action Waiver

YOU AND RENTPROTECT AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and RentProtect agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

12.6 Exceptions to Arbitration

Notwithstanding the foregoing, either party may:

1. Bring an individual action in small claims court if the claim qualifies
2. Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property rights
3. File a complaint with regulatory authorities, including state insurance departments

12.7 Opt-Out Right

You have the right to opt out of this arbitration provision by sending written notice of your decision to opt out to RentProtect Insurance Services LLC within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, physical address, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, all other parts of these Terms will continue to apply.

12.8 Severability

If any portion of this arbitration provision is found to be unenforceable, the unenforceable portion shall be severed, and the remaining arbitration terms shall be enforced (but in no case shall there be a class or representative arbitration).

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of these Terms. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

14.2 Policy Documents Control

In the event of any conflict between these Terms and the terms of an insurance policy issued by a carrier, the policy terms shall control with respect to matters of insurance coverage.

15. Communications

15.1 Electronic Communications

By using the Services, you consent to receive electronic communications from us, including emails, text messages, and notices posted on the website. These electronic communications may include notices about your account, quotes, policies, and marketing communications. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

15.2 Opt-Out

You may opt out of receiving marketing communications by following the unsubscribe instructions in such communications or by contacting us. You may not opt out of service-related communications, such as policy notices or account information.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

17. Third-Party Links and Services

The Services may contain links to third-party websites or services, including insurance carrier websites. We are not responsible for the content, accuracy, or practices of such third-party websites or services. Your use of third-party websites or services is at your own risk and subject to the terms and conditions of those third parties.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and RentProtect regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction.

22. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or fuel crises.
